Definitions
“The Company” refers to airPixels Aerial Services Ltd.
“Client” refers to the individual, company, or organisation engaging the Company.
“Services” refers to aerial filming, FPV filming, UAV operations, and related services provided by the Company.
“Deliverables” refers to any video footage, still images, edited media, reports, or other materials supplied to the Client.
Scope of Services
2.1 The Company will provide Services as outlined in a written quotation, proposal, or agreed brief.
2.2 Any work requested outside the agreed scope may be subject to additional charges.
2.3 All Services are subject to weather conditions, regulatory approval, operational safety considerations, and access permissions.
Regulatory Compliance
3.1 The Company operates in accordance with applicable UK Civil Aviation Authority (CAA) regulations.
3.2 The Company reserves the right to delay, reschedule, or cancel any operation if weather, safety, legal, or regulatory conditions make the flight unsafe or non-compliant.
3.3 The Client must provide accurate information regarding the site, including known hazards, restrictions, and access limitations.
Bookings and Payment
4.1 A booking is confirmed upon written acceptance of a quotation.
4.2 The Company may require a deposit prior to the commencement of Services.
4.3 Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.
4.4 Late payments may incur statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Cancellations and Rescheduling
5.1 Aerial operations are weather-dependent. If weather or environmental conditions are unsuitable, the Company may reschedule the booking at no additional charge.
5.2 If the Client cancels a confirmed booking within 48 hours of the scheduled operation, the Company reserves the right to charge up to 100% of the agreed fee.
5.3 If site access is not available at the agreed time, additional charges may apply.
Client Responsibilities
The Client agrees to:
Obtain any required landowner or site permissions
Provide safe and reasonable access to the location
Inform relevant stakeholders of the scheduled operation
Disclose any known hazards or restrictions
Failure to meet these responsibilities may result in delays or additional costs.
Deliverables and Usage Rights
7.1 Deliverables will be supplied in the format agreed in writing.
7.2 Copyright in all footage and imagery remains with the Company unless otherwise agreed in writing.
7.3 Upon full payment, the Client is granted a non-exclusive licence to use the Deliverables for the agreed purpose.
7.4 Raw footage is not included unless specifically agreed in writing.
Liability
8.1 The Company holds appropriate insurance for commercial UAV operations.
8.2 The Company shall not be liable for indirect, incidental, or consequential losses.
8.3 The Company’s total liability in respect of any claim shall not exceed the total fees paid for the relevant Services.
8.4 The Company shall not be liable for delays or failure to perform due to weather conditions, airspace restrictions, technical issues, or circumstances beyond its reasonable control.
Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.
Confidentiality
Both parties agree to treat as confidential any sensitive or proprietary information disclosed during the course of the project.
Data Protection
The Company processes personal data in accordance with applicable UK data protection legislation. Further information is available in the Privacy Policy.
Governing Law
These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
